Terms of service
This Public Offer (hereinafter referred to as the "Offer") is intended to regulate the legal relations between the Customers through the Internet site located at the address t-eras.pl (hereinafter referred to as the "Site"), on one hand, and the Limited Liability Company "ACADEMY OF KNOWLEDGE AND INNOVATIVE SOLUTIONS "TERAS" (hereinafter referred to as the "Contractor"), which is the rightful owner of the Site and holds intellectual property rights to any content posted on the Site, on the other hand.
By using the Site, including registration, utilizing its Services, engaging in negotiations with third parties, or posting any information such as publications, reviews, comments, etc., the Customer provides their full and unconditional agreement to the terms of this Offer. Contractual relations between the Customer and the Contractor arise in accordance with Article 633 of the Civil Code of Ukraine (hereinafter referred to as the CCU) and Article 11 of the Law of Ukraine "On Electronic Commerce".
Please carefully read the terms of this agreement. If you disagree with any provision of this document, please immediately cease using the Site and any cooperation with the Contractor. The Contractor reserves the right to refuse the provision of Site Services to Customers at any time and to restrict access to the Site without explanation, regardless of the reasons for such refusal or restriction.
1. BASIC TERMS
1.1. The terms used in this Offer have the following meanings:
"Contractor": Limited Liability Company "ACADEMY OF KNOWLEDGE AND INNOVATIVE SOLUTIONS "TERAS" (EDRPOU code: 45395056).
"Customer": a natural or legal person who registers on the Site for the purpose of further use and/or obtaining the Contractor's Services.
"Site": the website located on the Internet at the address t-eras.pl, where the Site is hosted.
"Site Administration": the Contractor and third parties engaged by them in accordance with the current legislation of Ukraine, who are granted all necessary access and rights regarding the management, moderation, administration of the Site, and the provision of Site Services to Customers.
"Social networks" - social networks Instagram, Facebook, TikTok, YouTube, Telegram and any others indicated on the Site, in which the Customer has one or more accounts that connect to the Site and are used to order services by the Customer. If any provisions relating to the use of Social Networks specified in this Offer contradict or differ from any Rules for the use of Social Networks posted on the official websites of Social Networks, then the Rules for the use of Social Networks shall be used.
"Site Services": the complete list of services provided by the Contractor to Customers under the Contract according to the terms of this Offer, as specified in clause 2.6 of this Offer.
"Materials": any information posted on the Site.
1.2. Any terms used in this Offer, the meanings of which are not provided in clause 1.1. or further elucidated in the text, shall be interpreted according to their ordinary meanings, with interpretation guided by the purposes of using the Site.
2. CONTRACTUAL RELATIONS
2.1. In accordance with the terms of this Offer, the Contractor and the Customer enter into an Agreement for the provision of Services (hereinafter referred to as the "Agreement"). Under this Agreement, the Contractor agrees to grant Customers access to the Site and provide Services, while the Customer agrees to accept and pay for these Services in accordance with the terms outlined in this Offer.
2.2. By registering on the Site and utilizing its functionalities, the Customer fully and unconditionally consents to the terms of this Offer and enters into a contractual agreement with the Contractor. This contract is considered concluded when the Customer expresses intent to do so or creates a Customer Profile.
2.3. In accordance with the terms of this Offer, the Contractor and the Customer enter into an Agreement for the provision of Services (hereinafter referred to as the "Agreement"), whereby the Contractor undertakes to provide Customers with access to the Site, as well as to render Services, and the Customer undertakes, in compliance with the terms of this Offer, to accept and pay for these Services according to the terms specified herein.
2.4. The site serves as a means of communication between the Customer and the Contractor. In this regard, the Contractor does not provide any guarantees, conduct verification or control of persons, or oversee the actions of registered customers on the Site. The Contractor does not assume any obligations related to agreements made by Customers, except for obligations to assist in executing agreements. Furthermore, the Contractor is not a party to any other relevant agreements between Customers.
2.5. Any actions of the Customers using the Site are carried out by them based on the principle of freedom of contract in accordance with Article 627 of the Civil Code, taking into account any risks and responsibilities that may arise as a result of registration on the Site, the conclusion and execution of agreements, and the fulfillment of any other obligations and agreements using the Site.
2.6. The Site does not organize or accept any methods other than those provided by its functionality, as outlined in agreements between parties. It does not act as an agent or representative of any party. This is due to the clear delineation of responsibilities between parties at the time of registration by the Customer on the Site. Furthermore, the Site does not have any special arrangements with other Customers of any kind.
2.7. If the price exceeds the equivalent of 5,000 (five thousand) US dollars, the payment settlement date shall be subject to the official exchange rate of the National Bank of Ukraine between the Parties. Any individual agreements shall be governed by applicable Ukrainian legislation.
2.8. We are obligated to provide Deputies with access to the Services on the Site in accordance with their registration and/or any other functionalities available on the Site, including but not limited to:
Provision of other individual services
Data processing, posting information on websites, and related activities
Provision of other information services
Other types of illumination
Promotion of other products
Other forms of retail trade in non-specialized stores
Development of other products
Retail trade conducted by mail-order companies or via the Internet
2.9. Hereafter, Deputies may be provided with additional Services not specified in clause 2.6. These Offers are in accordance with the functional capabilities of the Site. Consequently, any additional services obtained by the Deputy due to Site violations, and the Services provided by the Contractor under the Contract, align with the terms of this Offer.
3. PROCEDURE FOR USING SITE
3.1. Customers are obliged to use the Site in accordance with all the provisions and rules outlined in this Offer, as well as any documents governing the usage procedures of the Site. This includes mental policies, agreements on confidentiality and information privacy of the Contractor and content posted on the Site. Additionally, compliance with any payments due to the Website as specified in Sub-clause 6.2.4 of this Offer is required.
3.2. Customers have undertaken actions that violate the provisions of any document specified in clause 3.1 of this Offer.
3.3. Access to the Site is granted to Customers who meet the following criteria:
3.3.1. Have reached 18 years of age or are emancipated, in case of emancipation or the imposition of new civil laws occurring before Customer reaches 18 years of age. 3.3.2. Possess legal capacity and full legal competence (capable of entering into legal transactions, accepting and fulfilling obligations, and being held accountable for any violations). 3.3.3. Have unrestricted legal validity and are not deemed invalid according to the legislation of Ukraine or any other independent jurisdiction. 3.3.4. Have not previously had a Customer Profile blocked due to violation of the terms of the Agreement as defined by this Offer and/or the current legislation of Ukraine.
3.4. The Site Administration reserves the right to refuse registration to any Customer at its discretion and without providing reasons for such refusal, including if there are grounds to believe that the person does not meet the requirements outlined in clause 3.3 of this Offer.
3.5. If the Customer provides inaccurate information, or if the Site Administration has reason to believe that the information posted by the Customer, or any part of it, is unreliable, the Site Administration reserves the right to block the Customer's Profile and refuse further provision of Site Services to the Customer.
3.6. Customers are prohibited from:
3.6.1. Creating a Customer Profile on the Site with inaccurate information in any form, including the use of another person's name or personal data ("false profile").
3.6.2. Accessing the Site using login credentials belonging to another Customer.
3.6.3. Attempting to access the Profile of any Customer through any means, including the use of technical methods designed to hack login credentials.
3.6.4. Posting unreliable, incomplete, or inaccurate information, as well as any intellectual property objects, the rights to which belong to third parties, in the Customer's Profile without obtaining the appropriate permission (license) for their use.
3.6.5. Conducting mass mailings of messages (spam) or engaging in any other actions that disrupt the functioning of the Site.
3.6.6. Removing any copyright, trademark, or other intellectual property notices on any part of the Site or its Content.
3.6.7. Reproducing, modifying, creating derivative works from any elements or parts of the Site or its Content, distributing, licensing, selling, reselling, publishing, publicly reproducing, or otherwise using the Site, its Content, or any part thereof, except as provided for in this Offer.
3.6.8. Running any programs or scripts for the purpose of indexing, inflating statistics (cheating), determining location, or performing any other data analysis of any part of the Site, or excessively burdening or hindering the operation of any functionality of the Site.
3.6.9. Reverse engineering, decompiling, disassembling the Site or examining the program code of the Site in any other way, or modifying it.
3.6.10. Engaging in the illegal processing of personal data of other Customers, if available.
3.6.11. Posting any information on the Site that is prohibited by the current legislation of Ukraine, contrary to public order, principles of public morality, causing damage to honor, dignity, business reputation, or violating the rights of Customers, Contractor, or Site Administration in any way. This includes any materials containing pornographic or obscene content, as well as any other information deemed unacceptable, undesirable, or contrary to the goals of the Site's operation by the Site Administration.
3.6.12. Entering into agreements and/or conducting negotiations regarding their conclusion, including communication regarding the performance of Tasks, outside the Site (bypassing the Site) without the consent of the Contractor.
3.6.13. Taking any other actions contrary to the purposes of using and functioning of the Site.
4. REGISTRATION ON WEBSITE
4.1. The right to receive Services is granted exclusively to Customers registered on the Site and/or Customers who have entered into a written agreement on the provision of services with the Contractor.
4.2. Profile Registration:
4.2.1. Profile registration by filling out the form provided on the Site involves entering the Customer's email address, which serves as the Customer's login, and a password. Subsequently, Customer receives an email from Contractor requesting confirmation of the email address. Upon confirming the email, Customer proceeds to their personal account to complete the registration on the Site.
4.2.2. Profile registration using Customer's profile in Social Networks (Facebook and Google) involves authorization into the Social Networks (Facebook and Google) account through the Site. Upon authorization, Customer is automatically redirected to their personal account to complete registration on Site without requiring additional actions. During registration via Facebook, Contractor will have access to Customer's name on the Facebook social network and their email address. Similarly, during registration via Google Social Network, the Customer's email address will be available to Contractor.
4.2.3. Customer independently enters (or edits) the information specified in their Profile through their personal account. This includes details such as name, type of organization, contact person (name, phone, email), and names of used trademarks and other objects of intellectual property rights. The forms (questionnaires) available in Customer's personal account, as well as the information that can be entered into these forms (questionnaires), may be modified by the Contractor at their discretion.
4.2.4. To complete the registration of the Profile on the Site, it is suggested to add a business card, which includes the Company / Brand Name; Company Information; Company Logo.
4.3. A mandatory condition for concluding Agreements using the Site is to provide Customer's bank card details in Customer's personal account. Customer enters the bank card details on a special page, the processing of which is carried out by Payment service liqpay, applepay. Further storage and processing of information about Customers' payment cards are conducted using liqpay, applepay servers. Contractor bears no responsibility for any processing, storage, and security of this information.
4.4. Information Accuracy: Customers guarantee that any information they post on Site is current, complete, and accurate. In case of any changes to Customer's information, Customer undertakes to promptly update the relevant information provided on the Site.
4.5. Login and Password Security: Customer is obliged to ensure the preservation of the login and password used to access their Profile and not to disclose or provide them to third parties. Customer has no right to transfer their login and/or password to third parties, nor directly or indirectly allow third parties to use their login and/or password for authorization on Site.
4.6. Responsibility for Profile Actions: Unless proven otherwise by Customer, all actions taken on Site within Customer's Profile are deemed to be taken by Customer.
4.7. Reporting Unauthorized Access: Customer undertakes to immediately inform the Site Administration of any unauthorized (without Customer's consent) access to the Customer's Profile and/or any security breach or threat of security breach regarding their Profile by sending a notification to Contractor's email address.
4.8. Accountability for Unauthorized Access: Customer is responsible for any consequences and outcomes of unauthorized access or actions with Customer's data if Customer fails to adhere to security measures regarding the use of the Profile. This includes failure to end any work sessions after completing work with Profile, logging into Profile from third-party devices, etc. Customer is obliged to compensate any damages or harm caused to the Site, the Site, and the Site Administration in connection with such unauthorized actions by any third parties regarding Customer's Profile.
4.9. Profile Termination: Customer has the right to terminate use of the Site and delete their profile at any time by contacting Site Administration at the email address with the corresponding request.
5. PAYMENT FOR ACCESS TO THE SITE
5.1. Free-of-Charge Basis: Customers use Site on a free-of-charge basis unless otherwise specified additionally.
5.2. Agreement with Changes: Disagreement with the respective changes to the Public Offer under the conditions set forth in the updated Offer and posted on the Site results in the blocking of the Customer's Profile and the termination of the Contractor's provision of Services in accordance with this Offer.
6. COST OF SERVICES AND PAYMENT PROCEDURE
6.1. Determination of Cost: cost of Services is determined in accordance with the cost of each course (event, order) on the date of its order and/or the current tariffs and/or other payment conditions published at the addresses in the domain Synergy-master.com and/or sent to Customer's email address. Prices for Services are specified in the national currency of Ukraine.
6.2. Prepayment Requirement: Services (Products) whose information is posted on the Contractor's Site are provided to Customer on the condition of 100% prepayment by transferring funds to Contractor's settlement account.
6.3. Unused Services: Paid but unused Services within the specified terms are considered provided, and their cost is not refunded.
6.4. Non-payment Consequences: In case of non-payment for services by Customer in the manner established by this section, Contractor is not obliged to provide Services to the Customer.
6.5. Tariff Changes: Cost of services under Agreement may be changed by Contractor unilaterally by publishing new tariffs on the website. In this case, Services reserved and paid for by Customer are provided at the tariffs that were valid at the time of such reservation.
6.6. Payment Accuracy Responsibility: Customer is solely responsible for the accuracy of the payments made by them.
7. LIABILITY OF THE PARTIES
7.1. General Provisions on Liability:
7.1.1. Breach of Obligations: Parties shall bear liability for any breach of their obligations under this Offer, as per this Offer and the current legislation of Ukraine. A breach includes non-performance or improper performance of obligations.
7.1.2. Compensation for Damages: breaching Party shall compensate other Party for direct losses, expenses, liabilities, claims, interest, penalties, legal proceedings, and incurred expenses. Indirect, special, or consequential damages are excluded.
7.1.3. Exclusion of Indirect Damages: Parties shall not be liable for indirect damages arising from a breach of Agreement's terms.
7.1.4. Faultless Breach: Parties are not liable for breach without fault. Party is considered innocent if it proves due diligence in fulfilling obligations.
7.1.5. Liability After Termination: Termination of Agreement does not exempt Parties from liability for prior breaches.
7.1.6. Right to Refuse Cooperation: Contractor reserves the right to refuse cooperation and block Customers for breaches without explanation.
7.1.7. Additional Responsibilities of Customers: Customers are liable for various actions, including unlawful distribution of information, infringement of intellectual property rights, and engaging in illegal activities on the Site.
7.2. Additional Fine for Breach:
7.2.1. Fine Imposition: Customers shall pay a fine of ten thousand (10,000) hryvnias within three (3) business days from the demand date for specific breaches.
7.2.2. Contractor Rights: Contractor may exercise rights regarding Materials posted on the Site without prior notice to Customers.
7.3. Contractor's Liability:
7.3.1. Site "As Is": Site is provided "as is" and "as available," with no warranties except those explicitly stated.
7.3.2. Limitation of Damages: Contractor shall not be liable for direct or indirect damages arising from Services or Site use.
7.3.3. Dispute Resolution: Contractor is not liable for disputes unrelated to its obligations under this Offer.
7.3.4. Handling Third-party Claims: Contractor forwards copyright infringement claims to Customers; failure to provide evidence leads to profile blocking.
7.3.5. Intellectual Property Infringement: Contractor is not liable for infringement of third-party intellectual property rights due to Customer content placement.
8. INTELLECTUAL PROPERTY
8.1. Ownership: Contractor holds the rightful ownership of the intellectual property rights concerning the objects presented on the Executor's Website, encompassing Content, the Website itself, its components, design elements, trademarks, commercial names, domain names, and other means of individualization.
8.2. Prohibition of Infringement: Customers commit to refraining from violating the intellectual property rights of the Contractor and its partners, including Content, design elements, trademarks, commercial names, other means of individualization, domain names, and more, by employing them in ways not specified within the terms of this Offer. Any utilization of the intellectual property rights of the Executor and/or its partners, not explicitly outlined within this Offer, necessitates written permission from the Executor.
9. TERMINATION OF AGREEMENT AND DISPUTE RESOLUTION
9.1. Termination Right: Customers retain the right to initiate the termination of the Agreement before its completion by reaching out to the Website Administration with the pertinent request, specifying the Task number and the reasons for such termination.
9.2. Dispute Resolution: If, during communication in the Website chat, the Parties fail to reach an agreement on any requirements for the Tasks as outlined in subparagraphs 6.1.2-6.1.4 of this Offer or any other specifically stipulated requirements communicated in the chat on the Website before the provision of services, either Party has the right to initiate the termination of the Agreement by sending the corresponding message to the Website Administration. Following such notification, the Website Administration makes a decision on the termination of the Agreement.
10. PERSONAL DATA AND CONFIDENTIALITY TERMS
10.1. Data Protection Compliance: In accordance with the Law of Ukraine "On Personal Data Protection," individuals signing this agreement acknowledge their consent to the collection, processing, accumulation, storage, and dissemination of personal data (referred to as "PD") of the Parties to this Agreement. They confirm awareness of their rights and the purpose of collecting PD.
10.2. Data Storage: Customer's personal data is stored and processed by Contractor in compliance with this Agreement for the entire term of the Agreement and for a period of 3 (three) years from its termination.
10.3. Use of Cookies: Site utilizes "cookies" and other technologies to monitor the use of the Performer's services for optimization and improvement. Visitors' information is automatically recorded, and the Performer may combine it with other data to enhance service provision.
10.4. Confidentiality: All information obtained by the Performer about the Customer during their Site usage is considered confidential. The Performer safeguards the confidentiality of the Customers' personal data from unauthorized access, alteration, disclosure, or destruction.
10.5. Public Disclosure: Information publicly disclosed during the Agreement's performance or accessible from sources available to any person is not considered confidential.
10.6. Data Protection Measures: Contractor undertakes various measures to protect the confidentiality of Customers' personal data, including internal monitoring, physical security, access control, and processing on compliant servers.
10.7. Prevention of Sensitive Data Requests: Contractor does not request sensitive information such as credit or debit card numbers or PIN codes. If such requests are made, users should immediately cease Site usage and inform the Performer.
11. TERM OF THE CONTRACT
11.1. Commencement and Duration: agreement between Contractor and Customer becomes effective upon the creation of the Customer's Profile and remains in force until the Customer discontinues Site usage by deleting their Profile or by the Site Administration blocking it.
11.2. Customer Termination Right: Customer holds the authority to terminate Site usage at any time by deleting their corresponding Profile. However, such deletion is not permissible until the completion of any agreements between Customer and other Customers of the Site as per the terms outlined in this Offer.
11.3. Site Administration Rights: Site Administration reserves the right to block access to Customer's Profile and all associated agreements at any time if Customer breaches any terms of this Offer, without notification of the reasons for such blocking.
12. OTHER TERMS
12.1. Transfer of Rights and Obligations: Customer is prohibited from transferring or assigning any rights or obligations arising from Agreement concluded with Contractor without the prior written consent of Contractor.
12.2. Audit for Increased Activity: In the event of heightened activity from Customers (more than 3 consecutive repetitions) without resulting in the conclusion or completion of an agreement, Contractor or Site Administration conducts an internal audit and verification. During this period, Contractor’s account is temporarily frozen, and Site actions become unavailable.
12.3. Dispute Resolution Procedure: Any discrepancies or disputes between Customers and Contractor must be resolved using the mandatory pre-trial claims procedure as provided by the current legislation of Ukraine.
12.4. Dispute Resolution Venue: All potential disputes between Customers and Contractor shall be resolved in compliance with the requirements of the current legislation of Ukraine at the place of registration of Contractor.
12.5. Agreements Bypassing the Site: Customers are prohibited from concluding agreements bypassing the Site using other software tools to avoid formal agreements.
12.6. Severability: If any provision of this Offer is deemed invalid or without legal force, the remaining provisions shall remain valid.
12.7. Notification Receipt: All notifications under the terms of this Offer are deemed received within 2 (two) hours from the moment of their sending.
12.8. Notification Submission: Notifications sent by any Customer to Site Administration or Contractor must be sent using the functional capabilities of the Site or to the specified email address.
12.9. Offer Adaptation: Contractor continuously adapts the Offer to changes in the functional capabilities of the Site, current legislation of Ukraine, and international legal acts.
12.10. Unilateral Agreement Changes: Contractor reserves the right to unilaterally change the terms of Agreement by amending this Offer at any time. Such changes come into effect on the next day after publication on the Site, and subsequent Site usage by Customer constitutes agreement to the updated terms.
12.11. Acceptance of Terms: Registration of Customer and/or usage of the Site functionality is deemed acceptance of all the terms of this Public Offer.
12.12. International Activity: Considering the international nature of Site's activity, Contractor may demand necessary documents from Customers requested by tax authorities of any country.
